A Few Things Must Be Said.

NON-DISCLOSURE AGREEMENT

American AI Agent — IncomeWhisper.com LLC — Confidential

The Parties

This Non-Disclosure Agreement ("Agreement") is entered into between IncomeWhisper.com LLC ("Company") and the individual signing below ("Recipient").

1. Confidential Information

"Confidential Information" means all information disclosed by Company to Recipient in connection with the American AI Agent program, including but not limited to: program structure, pricing, enrollment terms, training materials, member identities, referral systems, compensation arrangements, technology, and business methods — whether disclosed in writing, verbally, electronically, or by any other means.

2. Recipient's Obligations

Recipient agrees to: (a) hold all Confidential Information in strict confidence; (b) not disclose any Confidential Information to any third party for any reason; (c) not use Confidential Information for any purpose other than evaluating their own potential membership; (d) not disclose any Confidential Information to any third party who has not first signed this Agreement — Recipient may invite anyone they choose, but all program details, structure, pricing, and proprietary information must remain strictly private until the invited party has signed their own Non-Disclosure Agreement; once both parties have signed, they may discuss program matters privately between themselves.

3. Invitation Rights

Any Recipient who has signed this Agreement may extend invitations — paid or unpaid, at any stage of membership. The sole condition is strict adherence to Section 2 of this Agreement: invitation links may be shared freely, but program pricing, program structure, program details, and all other Confidential Information may not be disclosed to any person who has not first signed their own Non-Disclosure Agreement. Sharing Confidential Information with non-signatories — in any form, on any platform — constitutes a material breach of this Agreement.

4. No Guarantee of Membership

Signing this Agreement does not guarantee acceptance into the program. Company reserves the right to decline membership at its sole discretion.

5. Exceptions

Obligations do not apply to information that: (a) was independently known to Recipient before disclosure; (b) becomes publicly known through no breach by Recipient; (c) is required by law or court order to be disclosed, provided Recipient gives Company prior written notice.

6. Duration

This Agreement remains in effect indefinitely unless terminated in writing by both parties. Obligations survive termination of any membership.

7. Remedies

Recipient acknowledges that breach would cause irreparable harm for which monetary damages would be inadequate. Company shall be entitled to seek equitable relief, including injunction, in addition to all other available remedies.

8. Governing Law

This Agreement shall be governed by the laws of the United States and the State of Oregon. Any dispute shall be resolved in the jurisdiction where IncomeWhisper.com LLC is domiciled — the State of Oregon.

9. Electronic Signature

By typing your full legal name in the signature field and submitting this form, you agree that your electronic signature is legally binding under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001) and applicable state law. Your IP address, device information, and the date and time of signing will be recorded.
